To ensure a timely and efficient closing, seller and buyer may use certain doorprofit.com Preferred vendors, service or product providers, whether referred by doorprofit.com or selected by buyer, seller, or other person including but not limited to escrow, title, property insurance, home inspection, bridge or rental mortgage loan and resale brokerage ("Service Providers").
doorprofit.com does not guarantee the performance of any Service Providers. Buyer and Seller are not required to use any Service Providers referred by, and/or affiliated with, doorprofit.com as a condition of the referral, and may select any providers of their own choosing.
Customer agrees and acknowledges that doorprofit.com is a licensed real estate firm in the State of Washington, is acting on its own behalf, and is not acting as Customer’s agent or broker in connection with the sale or purchase of an Asset. License number 22022022
In order to use the Service, you will be required to provide information about yourself including your name, email address, username and password, and other personal information. You agree that any registration information you give to doorprofit.com will always be accurate, correct, and up to date. You must not impersonate someone else or provide account information or an email address other than your own. Your account must not be used for any illegal or unauthorized purpose. You must not, in the use of the Service, violate any laws in your jurisdiction.
Customer understands that by accessing thedoorprofit.com Marketplace to view investment data (the "Purpose"), Customer may view or receive non-public information, which could reasonably be inferred to be confidential or proprietary in nature. "Confidential Information" means any information or materials disclosed by doorprofit.com to Customer that: (i) if disclosed in writing or in the form of tangible materials, is marked "confidential" or "proprietary" at the time of such disclosure; (ii) if disclosed orally or by visual presentation, is identified as "confidential" or "proprietary" at the time of such disclosure, and is summarized in a writing sent by doorprofit.com to Customer within thirty (30) days after any such disclosure; or (iii) due to its nature or the circumstances of its disclosure, a person exercising reasonable business judgment would understand to be "confidential" or "proprietary" or "personally identifiable information," including any information relating to Assets or other customers that could potentially be used to identify a particular person or company. Customer agrees: (i) to maintain all Confidential Information in strict confidence; (ii) not to disclose Confidential Information to any third parties; and (iii) not to use any Confidential Information for any purpose except for the Purpose. Customer may disclose Confidential Information to its employees and consultants who have a bona fide need to know such Confidential Information for the Purpose, but solely to the extent necessary to pursue the Purpose, and for no other purpose; provided, that each such employee and consultant first executes a written agreement (or is otherwise already bound by a written agreement) that contains use and nondisclosure restrictions at least as protective of the Confidential Information as those set forth herein. All Confidential Information remains the sole and exclusive property of doorprofit.com Customer acknowledges and agrees that nothing in this Agreement will be construed as granting any rights to Customer, by license or otherwise, in or to any Confidential Information of doorprofit.com or any patent, copyright or other intellectual property or proprietary rights of doorprofit.com except as specified here. Customer acknowledges that the unauthorized use or disclosure of any Confidential Information would cause doorprofit.com to incur irreparable harm and significant damages, the degree of which may be difficult to ascertain. Accordingly, Customer agrees that doorprofit.com will have the right to obtain immediate equitable relief to enjoin any unauthorized use or disclosure of Confidential Information, in addition to any other rights or remedies that it may have at law or otherwise.
You may use the Site and Service for lawful purposes only. You agree to use the Site and to purchase services or products through the Site for legitimate, non-commercial purposes only. You shall not post or transmit through the Site any material which violates or infringes the rights of others, or which is threatening, abusive, defamatory, libellous, invasive of privacy or publicity rights, vulgar, obscene, profane, or otherwise objectionable, contains injurious formulas, recipes, or instructions, which encourages conduct that would constitute a criminal offense, give rise to civil liability, or otherwise violate any law.
The Services are offered subject to our acceptance of your order or requests. As a feature of the Service, doorprofit.com may provide access to a community or social media platforms in conjunction with the Service. doorprofit.com is not required to provide a community platform, and has complete discretion with regards to the platform, and the nature of the interaction, dependent on the Service.
You agree that your use of these community and social media platforms is a privilege and doorprofit.com may limit or deny access to these platforms for misconduct that includes but is not limited to being inappropriate, rude, violent, or threatening. doorprofit.com will make reasonable efforts to provide notice to you with regards to inappropriate or unapproved content that you have placed within the voluntarily provided community and social media platform. doorprofit.com is not required to provide notice, and reserves all rights to take immediate and appropriate action to protect the doorprofit.com brand and image integrity.
We claim no intellectual property rights over the material you supply to doorprofit.com You retain copyright and any other rights you may rightfully hold in any content that you submit through the Site or Service. Content you submit to doorprofit.com remains yours to the extent that you have any legal claims therein. If any legal action or any arbitration or other proceeding is brought for the enforcement of this Agreement, or because of an alleged dispute, breach, default, or misrepresentation in connection with any of the provisions of this Agreement, the successful or prevailing party or parties shall be entitled to recover reasonable attorney’s fees and other costs incurred in that action or proceeding, in addition to any other relief to which it or they may be entitled.
If any term, provision, covenant, or condition of this Agreement is held by an arbitrator or court of competent jurisdiction to be invalid, void, or unenforceable, the rest of the Agreement shall remain in full force and effect and shall in no way be affected, impaired, or invalidated.
We earn referral fees from the real estate agents we connect you with.
We agree that the laws of the State of Washington, without regard to principles of conflict of laws, will govern these Terms of Use and/or any dispute of any sort that might arise between you and the Company or its affiliates, except for the Arbitration Agreement, which is governed by the Federal Arbitration Act.
